Cal South Annual General Meeting Amendment Proposal Review
Anaheim, CA (Wednesday, Oct. 29, 2025) – The Cal South Board of Directors announced on August 20th that the 2025 Cal South Annual General Meeting will be held as a virtual/online meeting on Monday, December 15, 2025.
In advance of the AGM, Cal South then opened up a period for Affiliate Members to propose possible amendment changes and/or additions to the following three documents:
- Cal South By-Laws
- Cal South Rules & Regulations
- Cal South Articles of Incorporation
The open period for submitting proposals ended
on Tuesday, September 30, 2025.
With the close of the Proposal process, we now ask everyone to review and make themselves familiar with the proposed amendment below, which will be voted upon at the Cal South Annual General Meeting on Monday, December 15, 2025…
Section 5. Removal of Directors

The Directors shall serve at the pleasure of the Members. Any or all of the Directors may be removed without cause if approved by the vote of two-thirds (2/3) of the Voting Power.

The Directors shall serve at the pleasure of the Members. Any or all of the Directors may be removed without cause if approved by the vote of two-thirds (2/3) of the Voting Power.
The Cal South Board of Directors are expected to attend meetings of the Board and of any committees of the Board to which they are assigned. If a Director is absent without excuse for 3 (three) consecutive scheduled board meetings, that Director may be removed by a vote of the majority of remaining directors, during a meeting where a quorum is present.
Removal of a Cal South director, by the Cal South Board of Directors, is at the sole discretion of the Cal South Board of Directors and is not subject to review by the members.
NOTE: The Record Date this Year is November 18, 2025
In order for your league or club president to be considered eligible to vote on these proposals, the Affiliate Member must be found to be “in good standing” with Cal South by this year’s Record Date of Tuesday, November 18, 2025.
